Terms and Conditions

These terms of trade constitute AV Architects Limited (trading as AV Architects), (“Us”, “We”, “Our”, “Av Architects”) standard terms of trade & engagement with our clients (“You”, “Customers”, “Client”, “Customer”).

Conducting business with AV Architects Limited constitutes acceptance of these terms of trade.

From time to time, we may update these terms. It is the clients responsibility to ensure that these terms still meet and align with your own expectations.

1. General:

Client requirements for new Audio Visual projects, equipment or labour shall be quoted and discussed, detailing proposed design, consulting or products and services.

Clients agree to make required information, content, data, plans and resources available to AV Architects Limited in a timely manner so that we can also fulfil our obligations to you.
We will use our reasonable endeavours to deliver the proposed solution, design, consulting, products or services to you in accordance with the proposal and quote.

The proposal or quote is based upon information that you provide to us. Therefore, you must make sure that you fully brief us on all matters. If project requirements are not disclosed or change materially, we reserve the right to present revised estimates of work, invoice for reasonable further costs, or cancel a project subject to our discretion. Full payment for any work conducted till such date is payable to AV Architects Limited in accordance with (3) below and subject to (2) below.

2. Retention of property:

Any products, materials, parts or labour provided remains the sole and exclusive property of AV Architects Limited till such time as it is paid for in full, plus any associated costs of collection therewith. AV Architects reserves the right to remove, repossess, dispose of or make claim on any property under its ownership, subject to the provisions in (4) below.

3. Terms of payment

AV Architects Limited provides products and services on a cash-on-delivery basis, unless otherwise agreed. AV Architects Limited requires full payment before releasing any material, products or services to clients.

In instances where products or services are provided on a terms of trade basis, the standard terms are net 7 days. Payment is expected within 7 days of the date of invoice, regardless of the date that the client receives, opens or processes the invoice. From time to time, AV Architects may provide terms on a net 20 days basis in which case the same provisions apply.

4. Collection and late payment costs

AV Architects reserves the right to charge collection costs for any invoices or late payments, to cover the costs associated with the collection of such invoices. Interest on late accounts is to be charged on a compounding basis, at an annual rate of 10% above the current BNZ unsecured overdraft rate as at the date the invoice was due for payment. AV Architects Limited also reserves the right, and the client agrees, to pay all collection costs associated with the recovery of overdue invoices and late payments, or recovery of property of AV Architects Limited per (2) above.

5. Returns, exchanges and warranty

AV Architects does not offer a return or exchange service for change of mind, change of circumstances or any other such scenario. From time to time, at it’s sole discretion, AV Architects Limited may offer a credit or trade-in on items or services provided, where a clients change of mind has occurred.

As a general rule, AV Architects Limited will work with the client to ensure we do all we can to facilitate a desirable end result in scenarios where change of mind or change of scope has occurred, notwithstanding the provisions made in this document.

Nothing in this document excludes, attempts to exclude or contracts AV Architects Limited out of any binding general obligations provided under applicable NZ statutory law.
